3. Submissions to Defiant International

Due to the large number of business plan ideas, investment proposals, and related materials that Defiant International reviews, and the similarity of many such plans and materials, we cannot agree to obligations of confidentiality, non-use, or non-disclosure with regard to any information or materials voluntarily submitted or provided to or otherwise shared with us, unless we have executed a separate written confidentiality agreement with you prior to your submission.

By voluntarily submitting information or materials to Defiant International, you agree that any such information or materials will not be considered confidential or proprietary, and that Defiant International is free to consider and evaluate such materials without condition.

This Section does not apply to information shared pursuant to a duly executed confidentiality or non-disclosure agreement.

4. Titles and Designations

Although certain individuals are identified in the Services as "Partners," "Managing Directors," "Directors," or similar titles, such designations are not intended to indicate that any such individual is actually a partner or general partner of any partnership as those terms are used for legal purposes. Such titles should not be construed to indicate that an individual has any ownership interest in Defiant International, Inc. or any of its affiliates.

DEFIANT INTERNATIONAL AND ITS AFFILIATES DISCLAIM ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND WITH REGARD TO THE SERVICES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, FREEDOM FROM VIRUSES OR OTHER HARMFUL CODE, OR FITNESS FOR A PARTICULAR PURPOSE.

7. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND REGARDLESS OF THE FORM OF ACTION, WILL DEFIANT INTERNATIONAL OR ITS AFFILIATES BE LIABLE TO YOU OR ANY OTHER PERSON FOR (I) ANY AMOUNT IN EXCESS OF ONE HUNDRED DOLLARS ($100.00) OR (II) ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, REGARDLESS OF WHETHER DEFIANT INTERNATIONAL OR ITS AFFILIATES HAVE BEEN APPRISED OF THE LIKELIHOOD OF SUCH DAMAGES OCCURRING.

8. Indemnification

To the fullest extent allowed by applicable law, you agree to indemnify and hold Defiant International, Inc., its affiliates, officers, directors, agents, employees, and partners harmless from and against any and all claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising from or in any way related to: (a) your use of the Services; and (b) your violation of these Terms.

9. Governing Law and Dispute Resolution

You and Defiant International agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Defiant International. These Terms are governed by and will be construed under the laws of the State of Texas, without regard to the conflicts of laws provisions thereof.

Any disputes, claims, or controversies relating to these Terms shall be resolved exclusively in the state or federal courts located in Dallas County, Texas. You and Defiant International each consent to personal jurisdiction in, and to the exclusive venue of, such courts.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting a notice on our website or by sending you an email. Your continued use of the Services after the posting of revised Terms means that you accept and agree to the changes.
